Acceptance of Terms

By accessing or using Clairvoyant Systems's services, you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.

Accounts & Eligibility

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must be at least 18 years old or have parental consent to use our services.

Use Rights & Restrictions

We grant you a limited, non-exclusive, non-transferable license to use our services subject to these terms.

You agree not to:

• Reverse engineer, decompile, or disassemble our services
• Scrape, crawl, or use automated means to access our services
• Use our services for any illegal or unauthorized purpose
• Interfere with or disrupt the integrity or performance of our services
• Attempt to gain unauthorized access to our systems

Customer Data & Confidentiality

Your Data: You retain all rights, title, and interest in data you upload to our services. You grant us a license to use, process, and store such data solely to provide and improve our services.

Our Obligations: We act as a data processor and will maintain the confidentiality of your data in accordance with our Data Processing Agreement and applicable privacy laws.

Availability & Support

We will use reasonable efforts to make our services available, but we do not guarantee uninterrupted or error-free service. We may perform maintenance that temporarily disrupts access, with reasonable notice where feasible.

Beta Features: Beta or pre-release features are provided "as-is" and may be discontinued at any time.

Fees & Payment

If applicable, fees are as specified in your order form or subscription agreement. Payment terms, invoicing procedures, and late fee policies will be detailed in your commercial agreement.

Intellectual Property

We retain all rights, title, and interest in our services, including software, documentation, trademarks, and trade secrets. Any feedback, suggestions, or ideas you provide may be used by us without compensation or obligation.

Warranties & Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from or related to our services shall not exceed the fees paid by you in the twelve months preceding the claim.

We shall not be liable for indirect, incidental, special, consequential, or punitive damages. Some jurisdictions do not allow exclusion of certain damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify and hold us harmless from claims arising from your misuse of our services, violation of these terms, or infringement of third-party rights.

We will indemnify you against third-party claims that our services infringe valid intellectual property rights, subject to certain limitations.

Term & Termination

These terms remain in effect while you use our services. We may terminate or suspend your access for cause (breach of terms, illegal activity) or for convenience with reasonable notice as specified in your agreement.

Upon termination, your right to use our services ceases immediately. You may export your data for a reasonable period following termination, as specified in your agreement or our data retention policy.

Governing Law & Venue

These terms shall be governed by and construed in accordance with the laws of the jurisdiction specified in your agreement, or if no agreement exists, the State of Delaware, United States.

Any disputes shall be resolved in the courts of the jurisdiction specified in your agreement, or if no agreement exists, the courts of Delaware, United States, unless otherwise required by applicable law.

Export & Sanctions Compliance

Our services are subject to export control laws. You agree not to export, re-export, or transfer our services in violation of applicable export laws or to any person or entity subject to sanctions.

Changes to Terms

We may modify these terms from time to time. Material changes will be communicated through our services or by email. Continued use after changes constitutes acceptance.
